1. Introduction

Welcome to the AI Delivered ("AI Delivered," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at AI Delivered.org and services, including our AI Transformation System, fractional Chief AI Officer (fCAIO) engagements, live instructor-led training courses, self-paced learning modules, assessment tests, and certification programs (collectively, the "Services").

Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

Our Services are not available to persons under the age of 16. By using our Services, you represent and warrant that you are at least 16 years of age.

2. User Accounts

2.1 Account Creation

To access certain features of our Services, you may need to create an account. When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Account Security

You agree to:

• Choose a strong, unique password
• Keep your account credentials confidential
• Notify us immediately of any unauthorized access to or use of your account
• Ensure that you log out from your account at the end of each session when using a shared device

We reserve the right to disable or terminate your account if we believe you have violated these Terms or if your account is inactive for an extended period.

2.3 Account Types

We offer different types of accounts, including individual accounts and enterprise accounts. Enterprise accounts may have additional terms and conditions that will be presented to you during the enterprise account creation process.

3. Services and Features

3.1 Assessment Tests

Our Services include assessment tests designed to evaluate AI proficiency across various domains. You understand that:

• Test results are based on the information you provide and our proprietary assessment methodologies
• Test scores and certifications represent an evaluation of specific skills at a specific time
• Assessment results do not guarantee job placement, academic success, or professional outcomes
• We may use anonymized test data for research and improvement of our Services

3.2 Learning Modules

Our Services may include learning modules and educational content. You understand that:

• Learning content is provided for educational purposes only
• Completion of learning modules does not guarantee improved performance on assessment tests
• We may update, modify, or discontinue specific learning content at any time

3.3 Certifications

Upon successful completion of certain assessment tests, you may receive a certification. You understand that:

• Certifications are granted based on our assessment criteria, which may change over time
• Certifications have an expiration date (typically 2 years from the date of issuance) after which they may need to be renewed
• Each certificate is assigned a unique certificate ID that can be publicly verified at aidelivered.ai/verify
• We may revoke certifications if we discover evidence of cheating, fraud, or misrepresentation
• Certifications are personal to you and may not be transferred, assigned, or used by others
• Passing score for the AI Proficiency Test is 70%

3.4 Live Instructor-Led Courses

Our live training courses are interactive, instructor-led sessions. You understand that:

• Live courses have limited enrollment and are subject to availability
• You must enroll and pay before the course start date to secure your seat
• Cancellations made at least 7 days before the course start date are eligible for a full refund
• Cancellations made less than 7 days before the course start date are eligible for a 50% refund or transfer to a future session
• No refunds are available after the course has begun
• We reserve the right to cancel or reschedule courses with at least 48 hours notice, in which case a full refund or transfer will be offered
• Certificates of completion are issued upon satisfactory attendance and participation

3.5 AI Growth System

Our AI Growth System and fCAIO (fractional Chief AI Officer) engagements are governed by the following terms:

• AI Growth System engagements are ongoing monthly services with terms outlined in a separate engagement agreement
• The fCAIO team operates as an embedded AI leadership function within your organization
• Deliverables, cadence, and roadmap commitments are defined in the engagement agreement
• Either party may terminate the engagement with 30 days written notice unless otherwise specified in the engagement agreement
• All intellectual property developed during the engagement is addressed in the engagement agreement

4. Fees and Payments

4.1 Pricing

Certain Services may require payment of fees. All fees are stated in U.S. dollars and do not include any applicable taxes unless specifically stated. We reserve the right to change our prices at any time. Any price changes will be posted on our website or communicated to you directly.

4.2 Payment Processing

We use third-party payment processors to process payments. By making a payment, you agree to the terms and privacy policies of these payment processors. You represent and warrant that you have the legal right to use any payment method you provide.

4.3 Refunds

Our refund policy varies by Service:

• For certification tests: No refunds once the test has been started
• For self-paced courses: Refunds may be available within 14 days of purchase if less than 20% of the content has been accessed
• For live courses: Full refund if cancelled 7+ days before start; 50% refund or transfer if cancelled less than 7 days before start; no refund after course begins
• For AI Growth System engagements: Refunds are governed by the specific engagement agreement

All refund requests must be submitted to [email protected]. We reserve the right to approve or deny refund requests at our discretion.

4.4 Subscription Services

Some of our Services may be offered on a subscription basis. For subscription Services:

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• You can cancel your subscription through your account settings or by contacting [email protected]
• No refunds will be provided for partial subscription periods

5. Intellectual Property

5.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by AI Delivered, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in our Services or our content, nor any right to use our trademarks, logos, domain names, or other distinctive brand features.

5.2 Use Restrictions

You may not:

• Modify, reproduce, distribute, create derivative works or adaptations of, publicly display, perform, republish, download, store, or transmit any of our materials, except as expressly permitted
• Decompile, disassemble, or reverse engineer any part of our Services
• Access or use our Services to build a competitive product or service
• Copy or imitate the design, layout, or look-and-feel of our Services
• Access or attempt to access our Services by any means other than through the interface provided by AI Delivered
• Circumvent, disable, or otherwise interfere with security-related features of our Services

5.3 User Feedback

If you provide us with any feedback, suggestions, or ideas regarding our Services, you grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such feedback in any way and for any purpose without compensation to you.

6. User Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law, regulation, or third-party rights
• Use our Services for any fraudulent, deceptive, or harmful purpose
• Impersonate any person or entity or misrepresent your affiliation with a person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Services
• Attempt to gain unauthorized access to any part of our Services or any systems or networks connected to our Services
• Use any automated means to access or use our Services without our express written permission
• Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material
• Cheat, collude, or otherwise attempt to circumvent our assessment procedures

7. Test Integrity

To maintain the integrity of our assessment tests and certifications, you agree to:

• Complete tests honestly and independently without unauthorized assistance
• Not share test questions, answers, or certification materials with others
• Not use unauthorized resources or aids during tests
• Not allow others to take tests on your behalf or take tests on behalf of others
• Not engage in any activity that could compromise the integrity of our tests

We reserve the right to:

• Monitor test-taking for suspicious activity
• Invalidate test results if we suspect cheating or misconduct
• Revoke certifications if obtained through dishonest means
• Terminate accounts of users who violate our test integrity policies

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL MEET YOUR REQUIREMENTS, THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE INFORMATION PROVIDED THROUGH OUR SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE, OR THAT ANY DEFECTS IN OUR SERVICES WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF OUR SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI DELIVERED, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES
• ANY CONTENT OBTAINED FROM OUR SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO OUR SERVICES EXCEED THE AMOUNT PAID BY YOU TO AI DELIVERED, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI Delivered, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of our Services
• Your violation of any rights of a third party
• Your conduct in connection with our Services

11. Term and Termination

These Terms will remain in full force and effect while you use our Services. We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any changes by updating the "Last Updated" date at the top of these Terms.

Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes.

13. Governing Law and Dispute Resolution

These Terms and your use of our Services will be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law.

Any legal action or proceeding arising out of or relating to these Terms or your use of our Services will be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue in such courts.

Any cause of action you may have with respect to your use of our Services must be commenced within one (1) year after the claim or cause of action arises.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and AI Delivered concerning your use of our Services.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

14.5 Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including, without limitation, acts of God, natural disasters, terrorism, labor actions, fire, flood, storm, riot, epidemic, pandemic, civil commotion, or governmental actions.
